Thank you for choosing Softflew Technologies & Training Institute. These Terms of Use (“Terms”) govern your access to and use of our website, applications, training programs, IT services, consulting, software solutions, and any other products or services we provide (collectively, the “Services”). Some Services may include downloadable software, access to online learning platforms, client projects, or other digital products. By accessing or using our Services you agree to be bound by these Terms and any policies referenced herein. If you do not agree, please do not use our Services.
1. Definitions
- Student / Learner: a person who enrolls in or uses Softflew training courses or educational offerings.
- Client: any organisation or individual that engages Softflew for IT services, software development, consulting, or related service engagements.
- Deliverables: tangible or digital outputs delivered to a Client as part of an IT services engagement.
- Materials: course content, slides, recordings, code samples, templates, documentation, and other intellectual property used in training.
- Confidential Information: non-public business, technical, or personal information disclosed in connection with Services.
2. Acceptance & Scope
These Terms apply to all users of our Services — students, clients, visitors, and partners. For clarity, parts of these Terms apply specifically to Students (training-related policies) and to Clients (service-related policies). Where a written contract exists between Softflew and a Client, the terms of that contract will govern to the extent they conflict with these Terms.
3. Registration & Service Engagement
Students (Training)
- All students must register for courses either via our website or in person at an authorised Softflew centre.
- Payment for training must be received in full before the course begins unless otherwise agreed in a written payment plan.
- After registration and payment, students will receive confirmation and access details via email. We recommend early registration due to limited seats.
Clients (IT Services)
- Client engagements begin with a written proposal, statement of work (SOW), or contract that specifies scope, deliverables, timelines, payment milestones, intellectual property rights, and acceptance criteria.
- Work commences when the Client accepts the proposal and any initial payment (if required) is received. Additional terms in the signed contract shall apply.
4. Payments, Fees & Refunds
Training Refunds & Transfers
- Refunds for training are available only if enrollment is cancelled within 7 days of initial enrollment and before the course start date (unless otherwise stated).
- After the 7-day window or after a course has commenced, refunds will not be provided. Transfer or credit policies may apply; contact student support for options.
IT Services Fees & Refunds
- Service fees are defined in the Client proposal or contract. Payment may be milestone-based, subscription-based, or upfront.
- Refunds for services are handled per the governing contract. Generally, completed and accepted deliverables are non-refundable. If a project is cancelled prior to execution, refunds or prorated amounts will be handled per contract terms.
Late Payments
- Late payments may incur interest or suspension of services. Softflew reserves the right to suspend access to training platforms or pause project work until overdue amounts are cleared.
5. Use of Website, Platforms & Resources
- Softflew’s website and learning platforms provide access to course materials, assignments, support, and communication tools. Students should use these resources responsibly.
- Clients may receive access to project management tools, staging environments, or support portals as part of service delivery.
- Unauthorized access, misuse, or distribution of platform content is prohibited.
6. Intellectual Property
Training Materials
- All course materials, lesson plans, videos, manuals, and related content are owned by Softflew or its licensors and are protected by intellectual property laws. Students are granted a limited, non-exclusive, non-transferable licence to use Materials for personal, educational purposes only. Copying, redistribution, or commercial use without express permission is prohibited.
Client Deliverables & IP
- Unless otherwise agreed in writing, Softflew retains ownership of pre-existing tools, libraries, frameworks, and code used to develop Deliverables. Clients are granted the rights to use the delivered solution as specified in the contract (e.g., an assignment of rights, licence, or limited-use terms). The specific IP ownership and licence terms will be set out in the SOW or contract.
Client Materials
- Clients warrant that any materials, data, or content they provide do not infringe third-party rights and that they have authority to share such materials with Softflew. Clients grant Softflew a licence to use Client Materials solely for the purpose of performing the Services.
7. Delivery, Acceptance & Support (Clients)
- Softflew will deliver Deliverables per the timeline in the SOW. Changes to scope may result in revised timelines and costs.
- Deliverables will be subject to an acceptance process defined in the SOW. If not accepted, Softflew will remedy defects according to the contract.
- Post-delivery support and maintenance, if agreed, will be provided under separate support terms or SLA.
8. User Conduct & Rules
- Users must act professionally and respectfully in all interactions on training platforms, forums, classrooms, and client communications.
- Prohibited conduct includes illegal activities, harassment, plagiarism, distribution of copyrighted content without permission, and misuse of accounts or resources. Violation may lead to suspension or termination of access without refund.
9. Security, Privacy & Data Protection
- Softflew implements reasonable technical and organisational measures to protect user data, including encryption of transmissions, access controls, and regular software updates.
- For Client engagements, additional security measures may be specified in the contract or a separate Data Processing Agreement.
- Use, storage, and sharing of personal data will be governed by our Privacy Policy. We will not sell personal data to third parties. Clients are responsible for any personal data they upload as part of project work and must comply with applicable data protection laws.
10. Confidentiality
- Each party shall keep Confidential Information of the other party secure and use it only for purposes of the Services. Confidential Information excludes information that (a) is or becomes publicly known through no breach; (b) was known prior to disclosure; or (c) is rightfully obtained from a third party.
- For Client projects, Softflew will treat project details and client data as confidential and will not disclose them except as required to perform the Services or as required by law.
11. Third-Party Content, Tools & Integrations
- Our Services may include or rely on third-party platforms, libraries, APIs, or tools. Softflew is not liable for downtime, changes, or issues originating from third parties. Use of third-party services may be subject to additional terms.
12. Educational Research & Analytics
- Softflew may collect anonymised or aggregated usage data from Students and Clients to improve courses, assess outcomes, and conduct internal research. Personal data will be used only in accordance with the Privacy Policy and not sold to third parties.
Modifying, Suspending or Terminating Services
- Softflew reserves the right to modify or discontinue any Service or feature at any time. For Clients, material changes affecting delivery will be communicated in advance where feasible.
- Softflew may suspend or terminate access to Services for users who breach these Terms. Where possible, we will provide notice and an opportunity to remedy the breach.
Warranties & Disclaimers
- Softflew strives to provide high-quality training and professional IT services. However, Services are provided “as is” and “as available” to the maximum extent permitted by law.
- Softflew makes no warranties that use of the Services will be uninterrupted or error-free. Softflew disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement except where prohibited by law.
Limitation of Liability
- To the maximum extent permitted by law, Softflew (and its officers, employees, agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Services. This includes lost profits, loss of data, business interruption, or other economic loss.
- In jurisdictions that do not allow such exclusions, liability will be limited to the extent permitted by law. For Clients, specific liability caps may be set out in the contract.
Indemnification
- Students: You agree to indemnify and hold harmless Softflew and its personnel from claims, liabilities, losses, and expenses arising from your misuse of course materials, violation of these Terms, or unlawful conduct.
- Clients: You agree to indemnify and hold Softflew harmless from claims arising out of Client Materials, requirements that infringe third-party rights, or unlawful instructions.
Termination & Effects of Termination
- Either party may terminate a Client contract as provided in the applicable contract. Termination of training access for Students may occur for violation of conduct policies or non-payment.
- Upon termination, rights granted under licence will cease. Clients remain responsible for payments due for services performed up to termination.
Governing Law & Dispute Resolution
- These Terms will be governed by the laws of the jurisdiction stated in your contract or, if unspecified, by the governing law in which Softflew is incorporated. Disputes should first be raised in writing to our contact address; parties will attempt to resolve disputes amicably. If unresolved, disputes may be referred to mediation or courts as per the governing law.
Amendments
- Softflew may amend these Terms at any time. Updated Terms will be posted on our website with a revised “Last updated” date. Continued use of Services after changes constitutes acceptance of the revised Terms. Users should review Terms regularly.
Miscellaneous
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force.
- Headings are for convenience only and do not affect interpretation.
By enrolling in a course or engaging in our services, you confirm that you have read, understood, and agreed to these Terms of Use.
